Terms of use
- Scope & Acceptance
These Terms of Use (“ToU”) govern individual users’ access to and use of Attenda (web app / Microsoft Teams app). Commercial and contractual terms (services, fees, term) are governed by the Master Subscription Agreement (MSA) and applicable Order. By accessing Attenda, you agree to these ToU.
- Parties & Contact
Vistasys AG, Rohrerstrasse 64, 5001 Aarau, Switzerland, info@vistasys.ch (“Vistasys”).
The “Customer” is the legal entity that signs the MSA. “Users” are individuals authorized by the Customer.
- Accounts & Access
- Sign-in via Microsoft Entra ID (business identity); Microsoft Teams usage is optional.
- Customer manages user assignments/roles and is responsible for granting/revoking access.
- Users must protect credentials, use MFA where available, and prevent unauthorized access.
- Acceptable Use
Use Attenda only (a) under the MSA, (b) for Customer’s lawful business purposes, and (c) per documentation. Prohibited: violations of law, malware/attacks, security bypass, unauthorized automation/scraping, reverse engineering (except as required by law), overload/abuse, credential sharing, use beyond subscribed licenses/seats.
- Customer Data & Responsibility
“Customer Data” (content/configurations/process data) remains owned/controlled by Customer. Customer ensures lawful processing (incl. notices and permissions) and that no third-party rights are infringed.
- Privacy & Security
Processing follows the Privacy Policy (Web & Attenda). Roles: Customer = Controller, Vistasys = Processor under the DPA/AVV. Primary region: Azure Switzerland North. Operational retention: log/telemetry 30 days, backups 30 days (rolling). Vistasys implements appropriate TOMs (encryption in transit/at rest, tenant isolation, RBAC, monitoring).
- Sub-processors
Current sub-processor: Microsoft (Azure) — infrastructure/platform (compute/storage/network), region Switzerland North. Changes and versioning per the published sub-processor list and DPA.
- Microsoft Third-Party Services
When used via Microsoft Teams/Entra ID, Microsoft’s own terms and privacy notices apply. Vistasys is not responsible for such third-party services.
- Service, SLA & Support
Availability, support hours, response targets, and maintenance windows are defined in the SLA and/or MSA. Planned maintenance will be communicated with reasonable notice.
- Service Changes
Vistasys may enhance, modify, or discontinue features, provided (a) core functionality is preserved or (b) reasonable notice is given. Material adverse changes will be communicated in advance.
- Intellectual Property
Attenda, underlying software, and content (excluding Customer Data) are the intellectual property of Vistasys or its licensors. Only non-exclusive, non-transferable usage rights are granted for the subscription term per the MSA.
- Confidentiality
Non-public information exchanged between the parties must be kept confidential and used solely to perform the agreement, subject to statutory retention/disclosure duties.
- Warranty & Liability (User-facing)
Attenda is provided “as a Service” per MSA/SLA. No guarantee of uninterrupted or error-free operation. Liability and remedies are governed by the MSA (including limitations and exclusions).
- Term, Suspension & Termination
Term and termination follow the MSA. Vistasys may suspend access if: (a) security risk, (b) legal violation, (c) material breach of ToU/MSA, or (d) payment default under the MSA. Upon termination, access ends and data return/deletion follow the DPA/MSA.
- Compliance & Export
Users and Customer must comply with applicable laws (incl. data protection, export controls, sanctions). No use in prohibited sectors/regions.
- Notices
Legally binding notices to the contacts designated in the MSA/Order; operational product/status notices may be delivered in-app or by email. General contact: info@vistasys.ch.
- Governing Law & Venue
These ToU are governed by Swiss law (excluding conflict-of-law rules and CISG). Exclusive venue: Aarau (AG), Switzerland, unless mandatory law provides otherwise.
- Order of Precedence & Severability
If documents conflict: MSA > DPA > these ToU > Documentation. If any provision is invalid, the remainder remains in force; a valid provision closest to the commercial intent will apply.
